In most of cases registering a new entity in a new country or trying to optimize payments efficiently and outsourcing the related responsibility, means to find a reliable attorney who can formally accept the responsibility of such charge, and is organized to assist the new entity having in real time the information necessary to make a fund transfer and payments, according to the bank internal procedures. An attorney is also fully aware of any corporate change relevant to the bank and is able to promptly convey to the latter any new information (such as addresses, board members, attorneys, directors, safety & IT procedures etc.) relating to the new entity. This last role is a key point for a time-saving approach in the management of administrative or bureauchratic activities relating to the new entity.
HTLC services have always been ORIENTED to allow our customers to save time and being more efficient, facilitating (i) the dialogue with italian local banks, which quite often do not employ English speaking staff and deliver the collection from/to Italian local banks of original documents.
It is worth knowing in advance that banks usually have (although this may not be true in all cases):
- resident accounts, for companies formally registered with the Chamber of Commerce/Enterprises Registrars and with a permanent establishment in the country*
- non resident accounts, for companies non formally registered with the Chamber of Commerce/Enterprise Register and without a permanent establishment*; in this case, payments of employees' social contributions, income tax, Vat and corporation tax, might not be made by remote banking.
Permanent Establishment
HTLC is not making payments on behalf of clients through own bank accounts, but is offering the 'attorney service' through a bank registration empowering an HTLC director to act according to the client's needs and pursuant to the local legislation requirements deadlines.
In order to put this process in place, the client needs to follow one of the 3 following options:
- the client's legal representative must sign a special attorney before-a foreign notary, and in case required-by the international legislation, also ask the notary to add an 'apostille' in 2 copies; 1 original shall be kept by the company, while the other one shall be delivered to HTLC to be forwarded to the bank chosen from the Client.
- the client must inform HTLC of the bank name, bank address, name, surname, direct phone and e-mail, of a clerk in the bank with which the client has a usual trust based relationship, and HTLC will ask the clerk of the local bank of the country in which the client wishes to operate, to get in touch with the foreign colleague, to pass all the documents for the account registration or update; this will allow the client to avoid the notary cost and meeting, allowing the client's legal representative to visit your own clerk and not the notary, and sign directly the bank forms, in order to be duly recognized while adding his/her signature.
- the client legal representative should be physically present in the country in which the bank account should be registered, and HTLC can organize conveniently a dedicated meeting by the bank also with the assistance of our operators speaking the language of the client.
