When registering a legal entity one of the first decisions to take is where to establish its domiciliation.

It is also important to distinguish different kind of domiciliations:

  • Legal domiciliation: this allows the company to have an address to indicate to the local tax office and to the local Chamber of Commerce and/or Enterprises Registrer, and which will be used from the same for any correspondence.
  • Administrative/worksite domiciliation: this domiciliation usually allows to the employer to declare in case of employees' presence, that the address is also a worksite, therefore it is usually used to receive correspondence from national social contribution/insurance offices, work accident insurance office, employment office, suppliers, clients, banks etc., unless a different address indication to each of them for correspondence only.

    This is also the location used in case of any public office inspection, including those related to employee's work safety, asking about all the documents of the work environment qualifying the worksite as legally compliant.
  • Fiscal domiciliation: this is used for the company and/or for its legal representative, who usually must be registered with an address within the country, in order to obtain an individual tax code, without which often the company cannot be registered.

In this case, the tax office will ask/use his/her address in Italy as a priority, and in case this should not reveal itself correct, it will be used the foreign one, and both must result from official documents, with the DIRECT obligation of the same legal representative to inform the office of any local or foreign address within a short term (usually 30 days), in order to avoid the related penalties. This is also usually the location used in case of tax office inspections.

OFFICES: a frequent and recent solution to save worksite rent and transport cost, with a common utility of employer and employee, is the home based office. It is important to highlight that this solution is legally allowed in most of countries (not U.A.E. for example), also for domiciliation of a company, allowing the employer to save also the simple A., B., and C. solutions cost, but this approach also creates the considerable disadvantage that in case of resignation or termination of the employee available, the company must also change the address, often repeating the notary procedure which is needed to register the entity, with essentially a very similar cost.

 

In addition, this approach is forcing the employer to collect all the documents of the home base work environment, with frequent difficulties related to the fact that in most of cases, that is a 'residential' and not an 'office kind' work environment, therefore this is often translated in an additional time waste and cost, which is quite difficult to foresee.
